A Guide to Company Registration in Sri Lanka

DXP Associates offers you guidance on the process of registering a private limited company in Sri Lanka – the requirements, the procedures needed and the time frame needed. We ensure you that the process will go on smoothly.

Name Approval (2 to 3 working days)

The required name must be filed in the name approval form and handed over to the counter of the Registrar of companies. A name which is similar to that of another Company cannot be registered. Certain names referred in the Companies Act must be registered only with special approval of the Minister. The Name Approval would be available in 2-3 working days. This approval is only valid for a period of 3 months from the date of application.

Submitting Company registration forms (3 to 5 working days)

After obtaining the name approval, submit Form No. 1, 18, and 19.

  1. Form 1 – Company Registration needs to be signed by all the initial directors, initial shareholders and the Secretary.
  2. Form 18– Consent and Certificate of Director
  3. Form 19– Consent and Certificate of Secretary
  4. Articles of Association - A company may either adopt the standard set of Articles of Association in Table A of the Companies Act of Sri Lanka or draft its own Articles of Association. You must submit 2 copies

All the above forms and documents need to be type written/printed on the specific forms available in the Registrar of Companies website.

Once the above mentioned documents are filed the Registrar of Companies shall issue a Certificate with the Registration number of the Company.

This usually takes 2 working days.

Public Notice (3 languages)

According to Section 9 of Sri Lanka's Companies Act No. 7 of 2007 and section 3(a) of the Gazette Notice No. 1566/32 dated 12/09.2008 public notice must be given within 30 working days of the incorporation of a company in all three languages (Sinhala, Tamil, English). This notice must state the name of the Company, Registration number, Registered Address and the principal place of business if it differs from the registered address of the Company. The proof of publication should then be filed with the Registrar of Companies.

Obtain Tax Identification Number (TIN)

The applicant or an authorized representative of the applicant must be physically present at the Taxpayer Services Unit of Inland Revenue Department to pick up and complete the application for a Taxpayer Identification Number (TIN) number with supporting documents including a copy of Form 1, Certificate of Incorporation and Articles of Association
